TERMS AND CONDITIONS

This document ("Terms") is an electronic record in accordance with the Information Technology Act, 2000, and its amendments. It adheres to the regulations for electronic records as outlined in various statutes. This electronic record is generated through a computer system and does not necessitate physical or digital signatures.

1. GENERAL

1.1. Platform: "Platform" shall mean the online website accessible at www.platinumrx.in (including any sub-domains), together with all associated mobile applications, databases, application programming interfaces (APIs), software, user interfaces, content, features, functionalities, and documentation, that are owned, operated, and maintained by Affolife Retail Private Limited, a company incorporated under the Companies Act, 2013 (hereinafter referred to as the "Company" or "We" or "Us").

1.2. User Definition: In these Terms, "You," "Your," or "User" refers to any natural person accessing, using, or subscribing to our Platform or services.

1.3. Acceptance of Terms: Your use of the Platform is subject to accepting all the terms, conditions, and notices outlined in these Terms, along with any amendments made by the Company at its discretion. Continued use of the Platform confirms acceptance of any changes. If you do not accept these Terms, you must leave this Platform/mobile application.

1.4. Platform Nature and Related Terms: The Platform facilitates the online sale of conventional & alternative pharmaceuticals products, excluding any and all drugs listed under certain Schedules of the Drugs & Cosmetics Act, 1940 and all its corresponding rules (hereinafter referred to as "Products"). The Platform is a platform that facilitates, inter alia: (i) online sale and purchase of Products procured by Us from licensed distributors and manufacturers to You in accordance with the terms of use specified herein; (ii) online medical teleconsultation services being offered by relevant medical practitioners engaged by a third party telemedicine services provider ("Telemedicine Provider"); (iii) possible recommendation of substitute medicines by the Telemedicine Provider's representatives and (iv) delivery of the online pharmaceutical products ordered by You by independent third party delivery partners acting as Your agents ("Third Party Delivery Partners"). We accept orders from, and facilitate dispatch of orders to, addresses in selected locations in India.

1.5. The online sale and purchase of Products, including, among other things, facilitation of teleconsultation with the Telemedicine Provider including possible recommendation of the substitute medicines and facilitation of delivery by Third Party Delivery Partners are together referred to as "Services". The Company has procured the applicable licenses required under applicable Indian law to undertake the provision of such Services.

1.6. The arrangement between the Third Party Delivery Partners, Telemedicine Provider (hereinafter together to be referred as "Third Party Service Providers"), You and Us shall be governed in accordance with these Terms of Use. The Services would be made available to such natural persons who have agreed to use the Platform after obtaining due registration, in accordance with the procedure as determined by Us, from time to time. You agree and acknowledge that the Platform is what You and Third Party Service Providers utilize to meet and interact with another for the respective transactions. We are not and cannot be a party to, or, save as except as may be provided in these Terms, control in any manner, any transaction between You and the Third Party Service Providers.

1.7. Your access or use of the Platform, transaction on the Platform and use of Services hosted or managed remotely through the Platform, are governed by these Terms of Use, including the applicable policies which are incorporated herein by way of reference. These Terms of Use constitute a legal and binding contract between You on one part and Us on the other Part. By accessing or using the Platforms, you hereby confirm that You have the capacity to enter into a legally binding contract under Indian law, and in particular, the Indian Contract Act, 1872.

1.8. You represent that You are duly authorized as per applicable law by any third party (including a person under the age of 18 years) whose information you share with us and for that information to be processed as per the terms of the Privacy Policy. You hereby agree that We shall be acting as per your representation of authority and shall not make any independent enquiries to ascertain the genuineness of your authorization. Any liability in relation to your acts and omissions in this regard or resulting from consequent actions taken by Us pursuant to your acts and omissions in accordance with this Terms of Use or Privacy Policy shall also solely be borne by you. We accept orders of Products, after a valid prescription has been uploaded/ generated in accordance with the Terms of Use for Users who are 18 years old or over and for orders for customers below the age of 18 years, the User so ordering must have the requisite authority to undertake such an order in accordance with applicable laws. By placing an order, You confirm that You are at least 18 years and legally competent to contract.

2. PRODUCTS AND SERVICES

2.1.Platform: The Platform acts as an online platform for displaying and facilitating the purchase of products offered by the Company. All orders placed through the Platform are fulfilled directly by the Company from its duly licensed premises and are delivered to consumers. The Company has engaged duly qualified and registered pharmacists in accordance with applicable laws, who oversee, and are responsible for the dispensing of pharmaceutical products sold through the Platform. Dispensation of prescription drugs shall be effected only by, or under the personal supervision of, a registered pharmacist, and only against a valid prescription where required under applicable law. The Company may refuse or cancel orders where the prescription is invalid, unverifiable, incomplete, appears forged/tampered, or does not comply with applicable statutory requirements. Any order for prescription drugs placed on the Platform, whether or not supported by payment made to the Company, is conditional and not binding on the Company and the Company is not obligated to dispense any drugs against such order until the above criteria of a valid prescription supporting such order is duly satisfied.

2.2. Display of Products: The Platform displays images of pharmaceutical and health products, including products stocked and sold by the Company, as well as images of comparable products (including those with similar chemical / salt compositions or those offered at different price points) for reference and informational purposes only.

2.3. Content Accuracy: The Company does not warrant or guarantee the accuracy, completeness, reliability, adequacy, or authenticity of any information made available on or through the Platform. Product images displayed on the Platform are for illustrative purposes only and may not represent the exact appearance, packaging, or labelling of the actual product delivered. The display of such images does not imply that the Company owns or claims any intellectual property rights, including copyrights or trademarks, in respect of the products, packaging, or related materials, which remain the property of their respective owners. Such information may be based on data provided by manufacturers, suppliers, or other external sources and may be subject to change without notice. While the Company undertakes all reasonable efforts to ensure that the information displayed on the Platform is current and accurate, it does not independently verify or validate all such information and shall not be responsible for any errors, omissions, or discrepancies therein. Users are strongly advised to independently verify all information, including product details, composition, indications, and suitability, and to consult a qualified medical practitioner or other appropriate professional before relying on or acting upon such information. Any reliance placed on the information available on the Platform is strictly at the User’s own risk. You agree and acknowledge that the content available on the Platform in relation to the Products, including without limitation, text, copy, audio, video graphics etc is for general information purposes only and does not constitute either an advertisement or promotion of any drug being offered for sale by the Company on the Platform or any professional medical advice, diagnosis, treatment or recommendation of any kind.

2.4. No Recommendation: The display of products on the Platform does not constitute any recommendation, endorsement, critique or promotion of any product. The Company does not undertake any clinical, therapeutic, or qualitative analysis or evaluation of the products displayed or offered for sale. Products shown on the Platform may include the exact product searched for by the User or may be displayed for price comparison purposes or may include generic alternatives identified by the Company. The inclusion or display of such alternatives does not amount to any recommendation, endorsement, guarantee, assurance, inducement and/or preference by the Company and the Company does not assure or guarantee to any User efficacy, or suitability of any product displayed on the Platform.

2.5. Binding Agreement: No order of Products placed by You will be binding on Us until We have confirmed the order to You by phone, email or in writing (whether through SMS or email), in accordance with this Terms of Use. We reserve the right to reject any order. All orders are delivered subject to receipt of valid prescription, the delivery by our Third Party Delivery Partners to the relevant pin code entered by you, verification of the prescription by registered pharmacists, and the ascertainment of available stock with the licensed distributors of the Company.

2.6 Consequences of non-receipt of prescription: In the event, We do not receive a valid prescription from You or from the Telemedicine Provider within seventy-two (72) hours of placing Your prescription order, We may cancel Your prescription order and initiate a refund in accordance with Our refund policy. 3. PLATFORM USAGE

3.1. Compliance with Laws: The Platform operates in compliance with Indian laws. Users accessing services from locations outside India do so at their own risk, ensuring compliance with local laws.

3.2. Third-Party Usage: Users utilizing third-party platforms or services are subject to the respective terms and conditions and privacy policies of those entities.

3.3. Prescriptions: The sale of pharmaceutical products that require a valid prescription shall be processed only upon the submission and verification of a valid prescription issued by a registered medical practitioner having a valid Certificate of Practice as on the date of uploading of the prescription on the Platform, in accordance with applicable laws. You represent and warrant that prescriptions uploaded are authentic, legible, valid, unexpired and not forged, tampered with, or otherwise altered, and that you will not submit the same prescription for dispensing beyond what is permitted by the prescriber. The Company reserves the right to refuse or cancel any order where a valid prescription is not provided or cannot be verified, or where the prescription contains unusual quantities of medicines or drugs belonging to Schedules of the Drugs and Cosmetics Act that the Company is not duly licensed to sell.

3.4. Upon uploading of the prescription, our pharmacist will verify it against the information provided to Us at the time the order was placed. In the event that the information does not match with your original order as per the prescription, We may try to contact You using the information provided by You during your registration. If We cannot contact You and We are unable to dispense the item(s) on your Prescription Order, We reserve the right to, at our sole discretion: (a) cancel Your order and refund any money paid for such an order in line with Our refund policy, or (b) facilitate a Consultation (as defined below) with the Telemedicine Provider in order to proceed with dispensation of Your order.

3.5. You represent and warrant that You will furnish to Us for placing the order only the original or an electronic copy of the original prescription issued by a medical practitioner. You further represent and warrant:
(a)that such prescription, whether the original or an electronic copy of the prescription, shall not be furnished to any other pharmacist if it is stated thereon by the prescriber, directly or impliedly, that the prescription drugs can be dispensed only once against that specific prescription; and
(b) that if the prescription directs that the prescription drugs may be dispensed a certain number of times or at stated intervals, the User shall not exceed these stated limits in furnishing the original or the electronic copy of the prescription to the Company and placing orders with it.

3.6. You represent and warrant that You shall purchase Products only for bona fide and legitimate patients and not for the purpose of re-sale or any other activity not permissible under applicable laws. You declare yourself to be a bona fide consumer of the ordered medicines, which are intended to be used as prescribed and in no case shall the ordered medicines be allowed to be misused or put to any unauthorized use.

3.7. Notwithstanding anything contained in this Agreement, the Company reserves its right to use all means, including contacting the medical practitioners and Users, to determine the authenticity of the prescriptions and the orders placed by Users.

3.8.You understand and acknowledge that the Company is not the manufacturer of the Products and accordingly, shall not be liable in any manner whatsoever for any liability, loss, damage, compensation etc. that is legally attributable to the manufacturer of the Product or is due to any manufacturing fault/lapse/error.

3.9 Consultation with Telemedicine Provider: The Company has engaged the Telemedicine Provider for providing tele-consultation services. The Company is a facilitator of healthcare services that provides healthcare products and services to the Users. The Telemedicine Provider engaged by the Company is not related to the Company but merely provide medical consultation to You with your consent. You acknowledge that the Telemedicine Provider engaged by the Company is an independent entity, whose services are being availed by You upon your implied/ explicit consent. The Company shall not directly or indirectly be liable for any advice or medical consultancy arising from the Telemedicine Provider or any losses thereunder.

3.10. The opinions, statements, answers and tele-consultations (collectively “Consultation”) provided by the Telemedicine Provider through the Platform are solely the individual and independent opinions and statements of such registered medical practitioners and do not reflect the opinions of the Company. We do not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned on the Platform.

3.11. You understand and agree that Company, through the Platform, merely facilitates the online requisition of Consultation services being offered by the Telemedicine Provider to the User. All commercial and contractual terms with respect to Consultation offered shall be agreed to between the Telemedicine Provider and the Users. You further understand and agree that the Company, on Your behalf, may pay the Telemedicine Provider's fees for the Consultation offered. The amount of fees paid to the Telemedicine Provider shall be determined as per the policies of the Company, and will in no event, be linked to whether or how much medicine is prescribed to You. By opting for the Consultation services, You explicitly consent to its initiation under applicable law and consent to the Telemedicine Provider sharing, processing and transmitting to the Company your personal data (including personal and sensitive health information) as well as the prescription issued to You by the Telemedicine Provider or by another registered medical practitioner.

3.12. The Company does not recommend any specific registered medical practitioner(s), tests, products, opinions or other information that may be mentioned on the Platform. Reliance on any information provided on the Platform is solely at Your own risk. You should follow the advice of your doctor at all times. Further, it is Your responsibility for ensuring that the information submitted is accurate and the Company shall not make any effort to verify the accuracy of any information provided by You for using the Services.

3.13. The inclusion of professionals, specialists and/ or the Telemedicine Provider on the Platform does not imply recommendation or endorsement of such specialists and/ or the Service Provider nor is such information intended as a tool for verifying the credentials, qualifications, or abilities of any specialists and/ or Telemedicine Provider contained therein. Such information is provided on an 'as-is' basis and We disclaim all warranties, either express or implied, including but not limited to the implied warranties of merchantability and fitness for particular purpose.

3.14. The Company (the owners and the employee staff of the Company), and the Telemedicine Provider accept no responsibility for any medical, legal or financial events or outcomes related to the Services availed through the use of the Platform.

3.15. The Company makes no warranty that the Consultation will meet your requirements, or that the Service(s) will be uninterrupted, timely, secure, or error free. Subject to the Privacy Policy and applicable law, this includes loss of data or any service interruption caused by the Company employees, or any other transmission errors and corruption of data.

3.16. Notwithstanding anything to the contrary contained herein, You alone shall be liable for your dealings and interaction with the Telemedicine Provider contacted or managed through the Platform and We shall have no liability or responsibility in this regard. We do not guarantee or make any representation with respect to the correctness, completeness or accuracy of the information or detail provided by such client, patient, User, Telemedicine Provider or any third party through the Platform.

3.17. The exchanges between the Telemedicine Provider and the patient over the telephone (or any other platform as determined by the Company) may be supervised, recorded and stored by the Company, for the purposes of monitoring the quality of the consultation. You are advised to consult the Privacy Policy in this regard and note that by accepting or using Our Services to initiate Consultation, You are hereby providing explicit consent for such supervision, recording or storage. We may, at our sole discretion, suspend User's or the Service Provider's ability to use or access the Platform at any time while We investigate complaints or alleged violations of these Terms of Use, or for any other reason.

3.18. Substitution: You acknowledge and accept that the order for a substitute of a pharmaceutical drug requiring a prescription would be processed if your doctor has themselves permitted for any other equivalent generic drug to be dispensed in place of the drug prescribed in your prescription or if the prescription solely lists the salt names instead of a specific brand name. You further acknowledge and accept that a substitute of a prescription drug may also be processed if the Telemedicine Provider, after undertaking an independent and professional examination through teleconsultation or educating the customer about the benefits related to the substitute medicine, determine that a substitute of prescription drug may be prescribed. The Telemedicine Provider shall in such a situation issue a prescription pursuant to an online consultation with the patient prescribing the aforesaid substitute drug. Such issuance of prescription by the Telemedicine Provider for a substitute of a prescription drug shall be undertaken with your consent. Our registered pharmacists may call You, pursuant to Your teleconsultation with the Telemedicine Provider, in order to confirm the dispensation of substitute medicines, clarify the mode of administration of Products, or counsel You on dosage, storage, or side-effects of the Product. The Company shall not, in any event, held responsible or liable for any loss or damages arising from the sale of substitute drugs to the Users.

3.19. General Disclaimer: You hereby understand and agree that We are providing a technology service as an intermediary and that any complaint of health issues, consultation, unsatisfactory services, etc. in connection with the Services provided to the User directly by the Telemedicine Provider, under this Terms of Use are between the User and the Telemedicine Provider and that at no point in time the Company shall be held responsible for the same.

3.20. Further, notwithstanding anything contained herein, We shall not be liable for: any medical negligence, prescription of any wrong medication or treatment on part of the Telemedicine Provider; any type of inconvenience suffered by the User due to a failure on the part of the Telemedicine Provider in providing the agreed Services or to make himself/herself available at the appointed time, inappropriate treatment, or similar difficulties; any misconduct or inappropriate behavior by the Telemedicine Provider; cancellation or rescheduling of booked appointment; any medical eventualities that might occur subsequent to using the services of the Telemedicine Provider. In the event of any non-compliance or malpractice by any such Telemedicine Provider, You affirm that You will bring to our immediate attention, any such incidence, for us to take necessary actions required under applicable laws and raise it with the Third-Party Service Providers. Further, You affirm that You shall not take any action against Us for any acts (or omission) of the Telemedicine Provider.

4. CHANGES TO TERMS

Modification Authority: The Company reserves the right to change or modify these Terms, policies, or guidelines at its discretion. Changes are effective immediately upon posting on the Platform. Users are responsible for reviewing Terms regularly. By accessing or using the Platform, you acknowledge having read, understood, and agreed to these Terms, the Platform's Privacy Policy, and other relevant rules and guidelines.

5. INVITATION TO OFFER FOR SALE

5.1. Nature of Listing: The display of pharmaceutical products on the Platform which are available for order shall, constitute an "invitation to offer" by the Company. In instances where the exact product is not available or not displayed, and the Platform presents alternative products (including generic equivalents identified based on similar compositions or price comparisons), such display shall constitute an "invitation to offer". The Company does not, by displaying such alternatives, make any representation, recommendation, critique, or endorsement of such products. Any order placed by the User for such alternative product shall be treated as an offer by the User, which may be accepted or rejected by the Company, in its sole discretion, and shall be subject to the submission and verification of a valid prescription, where applicable. The User is solely responsible for obtaining appropriate medical advice and a valid prescription, through a registered medical practitioner, for any alternative product, and the Company shall not be liable for any decision made by the User in this regard.

5.2. Limitations: Notwithstanding anything to the contrary, the final dispensation of any Product shall be strictly based on the valid prescription issued by a User's doctor or the Telemedicine Provider. The Platform's display or identification of comparable or substitute products nor the professional assessment of the Company's registered pharmacists shall be construed as a basis for dispensing any product. d disclaims falling within the purview of certain acts and regulations.

5.3. Acceptance of Orders: All orders are subject to acceptance and confirmation of delivery date and time. Mere receipt of the prescription or order either directly from You or from the Telemedicine Provider does not amount to acceptance of your order nor guarantee that the Products will be delivered as per your requirement within a specific time.

6. TRANSFER OF PROPERTY AND COMPLETION OF SALE

6.1. Dispensation Process: The sale of Products is completed upon acceptance of the User's order by the Company (along with a valid prescription, if applicable) and the corresponding dispensation of the requisite product from the Company's licensed premises. Accordingly, the sale is concluded at the Company's licensed premises, irrespective of the delivery location. For orders requiring a prescription where the User is redirected to the Telemedicine Provider, any payment made by the User prior to the consultation is a conditional payment. In such instances, the contract for sale is not concluded until a registered medical practitioner completes the consultation and issues a valid prescription, followed by dispensation from the Company's licensed warehouse. For orders utilizing cash on delivery, the contract for sale is concluded strictly upon the actual receipt of full payment by the Company or its authorized agents. Such sale shall be final, binding and conclusive irrespective of the mode of payment and delivery opted by the User. The User shall have an option to pick the most suitable payment and delivery mode from amongst the options given on the Platform. Once a sale invoice is raised and the User shall authorize a Third Party Delivery Partner as the User's agents, who shall dispatch the relevant Products ordered, on behalf of the User, to the delivery location as chosen by the User.

6.2. Prescription items can only be dispensed once We have received your original paper prescription or online prescription from the Telemedicine Provider. All items are delivered to the address provided by You in your registration or to an alternative address if directed by you. You acknowledge and accept that items will need to be signed for on delivery and authorize any person at your chosen delivery address to sign for the items as your authorized representative. In the event that the packaging is opened after delivery, We will have no liability to You for lost or damaged items or for what third parties find out about You as a result.

6.3. Property Transfer: Title and ownership of the Products shall pass to the User upon delivery. The invoice is issued by the Company for processing the order.

7. ITEM DELIVERY

7.1. Delivery Timeline: The usual delivery time for medicine ranges between 2 to 10 days, depending on the delivery pin-code.

7.2. Delivery Risks: The User acknowledges that Products may be subject to risks during transit, including but not limited to delays, environmental exposure, temperature variations, handling issues, or tampering.

7.3. Logistics Liability: While the Company undertakes reasonable measures to ensure appropriate packaging and dispatch, it does not guarantee that such risks can be entirely eliminated. Delivery of Products is facilitated through Third Party Delivery Partners, and such logistics providers shall, as your agents, be responsible for the handling, transportation, and delivery of the Products, including any risks or liabilities arising during transit. The User is responsible for inspecting the Products at the time of delivery, including verifying packaging integrity, product details, and absence of tampering. The Company shall not be liable for any issues arising after acceptance of delivery, except to the extent required under applicable law.

7.4. User Obligations: Certain Products may require temperature-controlled storage. Once delivered, safe storage and use are your responsibility. Do not accept packages that appear tampered. Unattended deliveries may be refused due to risks of theft/tampering/spoilage. The Company may cancel/return orders after repeated failed delivery attempts. We request You to verify the complete details and the documents provided to You at delivery before acceptance of the goods. Any complaints with regard to shortage of goods, defects or otherwise will not be entertained by the Company once the same are accepted at the time of delivery.

7.5. Limited Control: By successfully placing an order on the Platform: (a) the User hereby agrees to appoint and authorize the Company as its agent, for and on behalf of the User, to facilitate delivery of the Products that are the subject matter of orders placed on the Platform through Third-Party Delivery Partners for the purpose of delivery of Products from the licensed locations of the Company, and do all such things that are incidental for this purpose; (b) You acknowledge and agree that such delivery personnel and logistics providers act as Your agents or sub-agents for the purpose of delivery. Accordingly, any risks, liabilities, delays, damages, or losses arising during the course of delivery shall be borne by you, and the Company shall not be liable for any acts, omissions, delays, deficiencies, or issues attributable to such delivery personnel or logistics providers.

7.6.Hand Over: Certain orders (including prescription medicines) may require hand-to-hand delivery and acknowledgement/signature at receipt.

7.7. No Unattended Delivery: Requests to leave medicines unattended (doorstep / guard desk) may be refused. If no one is available to receive delivery, delivery may fail and the order may be returned / cancelled.

7.8. Accurate Address: Failure due to incorrect / incomplete delivery information is your responsibility; the Company is not liable for delivery failure attributable to such incorrect details.

7.9. Notification of errors: You should check the items dispensed to You carefully promptly upon receipt. If You believe there may have been a dispe

8. ELIGIBILITY OF USE

8.1.Contractual Eligibility: Use of the Platform is available to persons forming legally binding contracts under applicable Indian law.

8.2. Account Restrictions: Users below eighteen years may only avail Services through legal guardians. The Company reserves the right to terminate access for those under eighteen and restrict Users from maintaining more than one active account.

9. USER ACCOUNT, PASSWORD, AND SECURITY

9.1 Company facilitates the requisition of Products and Services on the Platform upon provision of requisite User information. This includes, but is not limited to, name, User ID, email address, address, gender, age, phone number, password, valid finance account information, and other details, culminating in the creation of an "Account" through Company ID and password or alternative log-in credentials, such as Facebook, Gmail, Yahoo ID, or any valid email ID ("Account Information"). You are responsible for keeping your username and password and OTP confidential and for ensuring that they are not used by any other person, for the purposes of availing the Services.

9.2. The User acknowledges that the transaction and delivery of Products may be subject to additional procedures, terms, guidelines, rules, or disclaimers ("Additional Terms"). In the event of a conflict between the Terms and Additional Terms, the latter shall prevail concerning the relevant Service.

9.3. Registration as a User is mandatory to avail Services on the Platform. The User assumes responsibility for maintaining Account Information confidentiality, promptly reporting unauthorized use, and ensuring compliance with applicable laws, regulations, and guidelines. Company disclaims liability for losses arising from User non-compliance.

9.4. The Platform may grant restricted access to unregistered Users. Users warrant the accuracy of provided Account Information and agree that the use of another User's information is expressly prohibited. Company reserves the right to suspend or terminate Accounts for non-compliance or provision of false information.

10. PRICING INFORMATION AND PAYMENT

10.1. Conditional Payments and Refunds: Payments processed for orders requiring a telemedicine consultation with the Telemedicine Provider are conditional. If the consulting registered medical practitioner determines there is no medical requirement for the Product and does not issue a valid prescription, the order shall be cancelled. The Company shall refund the conditional payment to the User in accordance with the Refund Policy.

10.2. Pricing: On delivery of the relevant Products to the Users, Company shall be entitled to full payment for the same. You agree that the prices mentioned on the Platform are approximate estimates of the actual/exact price of the Products. The actual/exact price of the Product will depend upon its batch number and will be mentioned in the invoice dispatched to You along with your order. In case a pre-payment has been made by You basis the price estimate at the time of placing the order, should there be a shortfall upon generation of the invoice, You undertake to pay the shortfall through any of the payment modes made available to You by us. In case the payment made by You basis the price estimate at the time of placing the order is more than the price as per the generated invoice, the excess payment will be refunded back to You in your bank account, credit card, debit card, wallet or the TM credit account which may have been used by You at the time of making the payment. 10.6. Subscription Fee: Users may be charged a nominal fee for services, payable online through designated facilities.

10.7. Taxes: Users are solely responsible for taxes, legal compliances, and statutory obligations. All fees are exclusive of applicable taxes.

10.8. Security Measures: Payments are processed through API integration, and the Company is not liable for any loss or damage during the process. 10.9. Dispute Resolution: Disputes related to third-party services are to be settled directly between Users and respective third parties, excluding the Company.

Merchant Liability: We as a merchant shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the declining of authorization for any transaction, on account of the cardholder having exceeded the preset limit mutually agreed by Us with our acquiring bank from time to time.

11.USER OBLIGATIONS

11.1. Pursuant to adherence to these Terms, Company extends a personal, non-exclusive, non-transferable, and revocable privilege, limited in scope, allowing You access to and utilization of this Platform and its provided Services.

11.2. You agree to use the Platform, and associated materials solely for purposes sanctioned by: (a) the Terms; and (b) applicable laws, regulations, or generally accepted practices in relevant jurisdictions. Adherence to limitations on material dissemination, use, and reproduction, as outlined in these Terms, is requisite. You undertake not to access the Platform and its materials, Products or Services through means other than as personal, individual self though the human user access interface provided by the Company. For the avoidance of doubt, you are not entitled to access the Platform programmatically or otherwise have any bots, agents, avatars, swarms or other form of digital instrument, that is not yourself operating through the human-machine interface provided by the Platform, access the Platform

11.3. You further acknowledge and agree that the Company shall not be responsible for any delays, failed deliveries, or losses arising from delivery of Products procured through the Platform.

11.4. In the event You avail Consultation Services, You undertake to provide complete, accurate, and up-to-date information to the registered medical practitioner and acknowledge that any consultation, diagnosis, or prescription is based solely on the information provided by You. The Company shall not be liable for any consequences arising from incomplete, inaccurate, or misleading information provided by You.

11.5. You further agree that any queries, concerns, or clarifications relating to the usage, dosage, indications, contraindications, or potential side effects of any pharmaceutical product shall be directed only to a qualified medical practitioner or the relevant telemedicine service provider, and not to the Company. The Company does not provide medical advice and shall not be responsible for addressing or resolving such queries.

11.6. Acknowledging potential exposure to content from other Users, You absolve the Company of liabilities concerning such content. If permitted to post material, You commit to ensuring its lawful and non-offensive nature and compliance with applicable laws, and undertake to refrain from prohibited actions.

11.7. You are exclusively responsible for maintaining the requisite computer equipment and internet connections for accessing, using, and transacting on the Platform. Your obligation is to utilize this Platform strictly for reasonable and lawful purposes, refraining from activities not envisaged through the Platform. The Platform and any purchased vouchers/coupons are to be used solely for personal, non-commercial purposes, with no resale to third parties permitted.

11.8. You must check all items dispensed to You and should not take any medication that appears to have been tampered with or which may have been dispensed in error. Failure to abide by this warning could seriously damage Your health and the Company shall not be held liable for the same.

12. USE OF MATERIALS

12.1. Except as expressly stipulated otherwise in applicable Additional Terms, Company grants a personal, non-exclusive, revocable (with notice), non-transferable access to view, download, and print product catalogues or other materials on the Platform, subject to conditions:
(a) Materials may be accessed and used solely for personal, informational, and internal purposes, in accordance with the Terms; modification of Product catalogues or materials is prohibited.
(b) Distribution, sale, rental, lease, licensing, or making materials available to others is forbidden. available to others is forbidden.

(d) The granted rights do not confer design, layout, or look and feel rights of the Platform, protected by intellectual property rights. Platform: The Platform, its processes, and their arrangement, including text, graphics, User interfaces, sounds, music, artwork, and code (collectively, the "Content") are owned and controlled by the Company, protected by copyright, patent, trademark, and other intellectual property laws. Trademarks, logos, and service marks ("Marks") displayed on the Platform are the property of the Company or third-party partners. Use of Marks requires prior consent. Company retains all intellectual property rights in the trademark "PlatinumRx," domain name "www.PlatinumRx.in," and the Platform. Unauthorized copying, republishing, posting, displaying, translating, transmitting, reproducing, or distributing Content is prohibited without necessary authorization.

13.2. Display: Product images displayed on the Platform are for illustrative purposes only and may not represent the exact Product delivered. The Company does not claim ownership of any intellectual property rights in such images, packaging, or trademarks, which remain the property of their respective owners.

14. RETURN, REFUND, CANCELLATION, AND SHIPPING CHARGES

A. Cancellation Policy

How can I cancel an order?
An order for medicines or healthcare products can be cancelled from the 'Order Details' screen on the PlatinumRx Platform/app ('Platform') or by calling our customer care number +91 96069 73757 before it is marked as "Order is being Processed". Else, you can refuse it at the time of delivery and a refund will be processed as per the Refund Policy.

B. Return Policy

What is the time period for return of orders

We have a 15 day no questions asked return policy. The order can be returned from 0-15 days from the date of delivery.

Note: The shipping charges will be charged as applicable.

Which Products are not eligible for Returns?

Products Not Eligible for Return - As per terms offered on the Platform, the products shall not be eligible for return under the following circumstances:

(a) If the item has been opened, partially used, or disfigured. The User is strongly advised to check the package carefully at the time of acceptance of products by the User from the User's delivery agent and it is emphasised that the User should not accept the order if the package appears to be tampered.
(b) If the product has been tampered with.
(c) If the product packaging and/or packaging box and/or packaging seal has been tampered with.
(d) If it is mentioned on the product detail page that the product is non-returnable.
(e) Any accessories/freebies supplied with the product are missing.
(f) If the product does not have a serial number/UPC number/barcode affixed, which was present at the time of acceptance of products by the User from the User's delivery agent, and it is emphasised that the User should not accept the order if the package appears to be tampered.
(g) Any damage/defect which is not covered under the manufacturer's warranty.
(h) The product is without original packing and accessories/freebies.
(i) If the product is damaged due to misuse.

How to Return?

You can raise a return request within the time frame mentioned above by following these simple steps on the Platform:

(b) Select the respective order and click on ‘RETURN’;
(c) Check to see if the product/s that you wish to return are returnable and have an active return window;

C. Refund Policy

When can I expect the amount to be refunded?

  • Please note that the refund amount mentioned at the time of return on the Platform is an estimate and will be finalised after completion of verification. Once the pick-up is completed and the product is verified by the Company, a refund of the total amount paid for the products returned by you will be initiated for eligible returns as mentioned above.
  • Refund will be initiated only post successful verification of the products by the Company. Verification process may take 8-10 days from the time of pick up from your location.
  • The amount is expected to reflect in your account after completion of verification from the Company.
  • Based on the method of payment, refund timeframe: Online refund: 7-10 business days subject to the bank turnaround time and RBI Guidelines.
  • You understand and acknowledge that we reserve the rights to claim back any refund that has been processed by us as a result of fraudulent activities such as return of wrong products or wrong quantity of the products.

15. ADVERTISEMENTS

The Platform facilitates third-party advertisers ("Third Party Advertisers") to place advertisements. Advertisements must adhere to honesty, realism, and high standards, avoiding misleading or offensive content. The Company reserves the right to modify or remove content, reject or remove any advertisement, and request modifications or factual substantiation for claims.

16. DISCLAIMER OF WARRANTIES AND LIABILITIES

The Platform and Services are provided on an “as is” basis. The Company disclaims liability for inaccuracies, errors, or interruptions in the Platform. The Company shall not be liable for third-party services (including telemedicine and diagnostics). The Company does not provide medical advice and shall not be liable for any adverse effects arising from the use or misuse of Products.

17. INDEMNIFICATION AND LIMITATION OF LIABILITY

You agree to indemnify, defend and hold us harmless Our affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from and against any and all third- party claims, losses, liabilities, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the Platform, violation of these Terms, or infringement of any of our or any third-party intellectual property or other rights. We will notify you promptly of any such claim, loss, liability, or demand, and in addition to the foregoing, you agree to provide us with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost. We will not be liable for any loss or damage (including but not limited to loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure, negligence or otherwise) where: (a) there is no breach of a legal duty of care owed to you by us; (b) the loss or damage is not a reasonably foreseeable result of any such breach; or (c) any loss or damage or increase in loss or damage results from a breach by you of these terms of use. The maximum liability of the Company shall be limited to the cost of the Products purchased or Services availed by the customer. 18. VIOLATION OF TERMS

You concede that the Company, at its sole discretion and without prior notice, may terminate Your access to the Platform and impede Your future access if it determines a violation of these Terms or Additional Terms. Any such violation by You is deemed an unlawful and unfair business practice, causing irreparable harm to the Company. In such instances, You consent to the Company seeking injunctive or equitable relief, supplementing other available legal or equitable remedies. Furthermore, should legal action be initiated by the Company due to Your breach, You agree to bear all reasonable attorneys' fees and associated costs.

19. TERMINATION

The Terms remain in force until terminated by either party. You can terminate the agreement with the Company by refraining from accessing the Platform or closing accounts for relevant services. The Company, at its discretion and with or without notice, may terminate the Terms if You breach provisions, violate applicable policies, or for legal or commercial viability reasons. Termination may involve removal of access, deletion of materials, and barring further service use. The Company holds sole discretion in termination decisions, with no liability for consequences.

20. GOVERNING LAW

These Terms, transactions on the Platform, and the relationship between You and the Company are governed by Indian laws, excluding conflict of laws principles. You agree to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India, for any claims, differences, or disputes related to the Platform, the Terms, transactions, or the relationship with the Company.

You expressly agree to receive communications via SMS, RCS, emails, or other modes from the Company related to offered products. Unsubscribe options are available on the Platform and newsletters.

24. MEMBERSHIPS

The Platform offers a range of limited and unlimited memberships, each subject to distinct terms and conditions, which will be provided separately. Memberships may encompass diverse benefits, features, and usage parameters, and the terms governing the use of these memberships will be explicitly communicated to the members. It is imperative for members to carefully review and adhere to the specific terms and conditions applicable to their respective memberships, ensuring a clear understanding of the privileges, limitations, and obligations associated with their chosen membership tier.

25. DIAGNOSTICS SERVICES

25.1.Company’s Role: The Platform may facilitate access to diagnostic or consultation services provided by independent third-party providers. The Company acts only as a facilitator for such services and does not assume responsibility or any liability for the provision of such services and any medical advice, diagnosis or treatment dispensed thereunder.

25.2.Responsibility Allocation: Labs are responsible for providing services, with the Company facilitating without assuming responsibility for services provided.

26. PATIENT SUPPORT PROGRAM (PSP)

26.1. Holistic Support: The Program aims to provide personalized health condition or disease management support through third-party experts.

26.2. Professional Independence: Opinions, statements, and services provided by Professionals are independent, with the Company disclaiming liability for correctness and genuineness.

27. GENERAL PROVISIONS

27.1. Notice: All Company notices are served by email or general notification on the Platform. Notices to the Company should be sent to care@platinumrx.in.

27.2. Assignment: You cannot assign or transfer the Terms or granted rights without Company consent. Company's rights are freely transferable.

27.3. Severability: If any provision is found unenforceable, it shall be enforced to the maximum permissible extent, and the remaining Terms endure.

27.4. Waiver: Company's failure to enforce any provision or right does not constitute a waiver of that provision or right.

27.5. Third Party Rights: Nothing in these Terms is intended to nor shall it confer a benefit on any third party under the contracts and a person who is not a party to these Terms has no rights to enforce them.

27.6. Force Majeure: We shall not be liable for lack of performance or delay in performance if any of its obligations are prevented, restricted, delayed or interfered with due to circumstances beyond its reasonable control and without the fault or negligence of such Party, including but not limited to change in legislation, fire, flood, explosion, epidemic, accident, act of God, war, riot, strike, lockout, traffic or other concerted act of workmen and/or act of Government (“Force Majeure Event”). Company may at its sole discretion withdraw the Services or Products if a Force Majeure Event occurs.
